These Terms of Service govern access to and use of Encredi software, APIs, dashboards, and related services. By creating an account, logging in through an identity provider, or using the service in any way, you accept these terms on behalf of yourself and, where applicable, the organization you represent.
1. Acceptance of Terms
By accessing or using Encredi services, you agree to these Terms of Service. If you do not agree, you must not use the service.
2. Eligibility and Account
You are responsible for safeguarding your credentials, all activities performed under your account, and maintaining accurate account information.
You must promptly notify your administrator or support contact if you suspect unauthorized account access, credential leakage, or other account security incidents.
3. Permitted Use
You may use the service only for lawful purposes and in compliance with applicable laws, regulations, and contractual obligations.
You are responsible for ensuring that your use of Encredi aligns with your internal governance requirements, security policies, export controls, and data handling obligations.
4. Prohibited Conduct
You must not abuse, disrupt, reverse engineer, or attempt unauthorized access to systems, data, networks, or service components.
You must not use the service to transmit malicious code, perform denial-of-service behavior, bypass access controls, or interfere with other users, tenants, organizations, or integrated third-party systems.
5. Data and Content
You retain ownership of your submitted data. You grant Encredi a limited license to process that data solely to operate, secure, and improve the service.
You represent and warrant that you have all required rights and permissions to submit and process your data through the service, including any personal data contained in that content.
6. Security and Availability
We apply commercially reasonable safeguards but do not guarantee uninterrupted, error-free, or fully secure operation at all times.
Planned maintenance windows, emergency operational changes, and upstream dependencies may affect service availability. We aim to minimize disruption and recover service promptly.
7. Billing and Payments
Paid features are subject to posted pricing and billing terms. Charges, renewals, and cancellations follow your selected plan and provider rules.
Usage-based fees, subscription renewals, and one-time purchases may be processed through external payment providers. Taxes, if applicable, may be charged separately in accordance with local law.
You are responsible for maintaining valid payment information and ensuring that billing contacts in your account are current. Failed or reversed charges may result in feature suspension until payment issues are resolved.
8. Suspension and Termination
We may suspend or terminate access for policy violations, legal requirements, security risks, or non-payment, with notice when appropriate.
Upon termination, your access rights end immediately unless otherwise agreed. Data export or retention, if any, is handled according to your plan and applicable legal obligations.
9. Intellectual Property
The service, including software, interfaces, logos, and documentation, is owned by Encredi or its licensors and protected by applicable intellectual property laws. These terms do not transfer ownership rights to you.
You may not remove proprietary notices, copy protected materials except as expressly permitted, or use Encredi branding without prior written approval.
10. Confidentiality
Each party may receive confidential information from the other party. Confidential information must be protected with reasonable care and used only for purposes permitted under these terms.
Confidentiality obligations do not apply to information that is public, independently developed, or received lawfully from a third party without confidentiality obligations.
11. Disclaimer
The service is provided “as is” and “as available.” To the maximum extent permitted by law, implied warranties are disclaimed.
12. Limitation of Liability
To the extent permitted by law, Encredi is not liable for indirect, incidental, special, consequential, or punitive damages arising from service use.
Aggregate liability for direct damages will not exceed amounts paid for the relevant service period, except where such limitation is prohibited by applicable law.
13. Indemnification
You agree to indemnify and hold harmless Encredi from claims, losses, and expenses arising from your misuse of the service, violation of these terms, or infringement of third-party rights.
14. Governing Law and Jurisdiction
These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. The courts located in the State of North Carolina will have exclusive jurisdiction over disputes relating to these terms or the service.
15. Changes to Terms
We may update these terms from time to time. Continued use after the effective date constitutes acceptance of revised terms.
